1. Who we are and what Notish is
1.1 Notish is a SaaS platform that monitors government, NGO, UN, and development sector procurement portals; surfaces relevant tenders and consultancy opportunities based on your declared preferences; and provides a private dashboard to track your proposal pipeline from discovery through bid outcome.
1.2 Notish is operated by Studio Imagine, a Bangladesh-based studio sole-proprietored by Rifat Tareq, with operational address in Dhaka. "We," "us," "our" mean Studio Imagine as operator. "You," "your" mean the natural person or legal entity operating a Notish account.
1.3 Notish is strictly an informational and productivity service. It is not a procurement authority, tendering platform, legal advisor, government agency, or official source of any tender, RFP, RFQ, ITT, or other procurement notice referenced by the service.
2. The third-party service disclaimer
This section is the most important one in these Terms. Please read it carefully.
2.1 Notish aggregates information from third-party procurement portals. We do not publish original tenders, do not control the source portals, and do not receive feeds, partnerships, or privileged access. Source portals can change, fail, restructure, restrict access, or remove content at any time.
2.2 You acknowledge and agree that:
- Notish does not guarantee comprehensive coverage of all tenders, opportunities, or notices relevant to your work. There will be opportunities we miss and sources we don't yet monitor.
- You are encouraged — and remain solely responsible — to check original source portals directly for any opportunity material to your business.
- Notish accepts no liability for missed opportunities, unsuccessful bids, late submissions, misclassified relevance, scraper failures, source-side changes, or any other defect in the data.
- Notish does not recommend depending solely on it — or on any single source — for business-critical opportunity intelligence.
3. Eligibility and account creation
3.1 You must be at least 18 years old, legally competent to contract, and not subject to applicable sanctions or restrictions.
3.2 You may sign up as an individual or as the authorized representative of a firm. If you sign up for an entity, you confirm authority to bind it to these Terms.
3.3 One account per person. Sharing a single account across multiple people violates these Terms. Team accounts are a planned future feature.
3.4 You must provide accurate information and keep credentials confidential. Notify us at security@notish.app of unauthorized access.
3.5 We may refuse or terminate accounts we reasonably believe are abusing the service, evading bans, scraping Notish itself, or otherwise violating these Terms.
4. The service tiers
4.1 Basic (Free). The only tier live at v1 launch (August 2026). Includes 1 work category, up to 3 monitored sources, weekly digest, web push, and full proposal tracker. Basic users who sign up before paid tiers launch are grandfathered into Basic at no cost in perpetuity, subject to continued compliance.
4.2 Pro. Announced future paid plan. Will provide expanded categories, custom keywords, source-type filtering, deadline reminders, twice-daily delivery, CSV export, and bid intelligence access. Pricing announced before launch.
4.3 Ultimate. Announced future paid plan with all Pro features plus AI-assisted proposal scoring (Phase 1) and writing assistance (Phase 2). Subject to additional AI-specific terms.
4.4 Invite codes. May grant paid-tier access without payment for stated durations. A courtesy, may be revoked for misuse, no refunds on revocation.
4.5 Tier changes. We may add, modify, or retire features within any tier, but we will not reduce the Basic core promise for grandfathered users below their signup level, except where required by law or infrastructure necessity.
5. Subscriptions, billing, and refunds (Pro and Ultimate, when live)
5.1 Paid tiers sold monthly or annually. Prices in BDT (and equivalent USD where applicable). Annual receives a published discount.
5.2 Payments processed by Stripe and/or SSLCommerz. We don't store full card details on Notish servers.
5.3 Subscriptions auto-renew unless cancelled. Cancel anytime from Settings → Billing. Cancellation takes effect end of paid period.
5.4 Refund policy. 14-day refund window from first paid subscription on each new tier. No pro-rated cancellations within a paid period.
5.5 Price changes. Minimum 30 days' notice. Effective at next renewal. You may cancel before the new price takes effect.
5.6 Taxes. Prices exclusive of applicable taxes; VAT and similar added where due.
6. Acceptable use
6.1 You agree not to use Notish to:
- violate any applicable law, regulation, sanction, or court order;
- harass, threaten, defame, or impersonate any person;
- attempt unauthorized access to Notish systems or other users' accounts;
- circumvent rate limits, anti-spam measures, paywalls, or tier restrictions, including via multiple accounts;
- scrape, crawl, harvest, redistribute, sublicense, or resell content from Notish, except as expressly permitted (e.g., your own CSV export);
- introduce malware, exploits, or disruptive code;
- reverse-engineer the service except as expressly permitted by Bangladesh law;
- compete with Notish using data sourced through Notish, including training competing systems;
- submit falsified data to the bid intelligence aggregation system, including misrepresenting submissions or wins.
6.2 We may suspend or terminate accounts engaging in the above without prior notice.
7. AI-assisted features (Ultimate tier, when live)
7.1 AI outputs are suggestions, not final work. You remain the author of any submitted proposal. You are responsible for reviewing, editing, fact-checking, and approving AI-generated content before any submission.
7.2 We make no warranty that AI scores predict outcomes, that AI text is technically correct, that AI improves win rate, or that outputs are free of errors or non-compliant content.
7.3 Don't misrepresent AI-generated content as exclusively your own where disclosure is required by the tendering authority, ethics rules, or law.
7.4 We may use anonymized aggregates of AI-feature usage to improve the features. We will not use the content of your proposals to train third-party models without your explicit opt-in.
8. Your content and data
8.1 You retain all rights to content you provide.
8.2 You grant Notish a non-exclusive, royalty-free licence to host, store, process, transmit, and display your content solely to operate the service for you.
8.3 We will not sell your individual data, bid history, preferences, or profile to any third party.
8.4 Aggregate, anonymized statistics across multiple users (bid intelligence) are not personal data and not subject to 8.3.
9. Bid intelligence (the collective layer)
9.1 When you interact with an opportunity, Notish counts and combines with other users to produce anonymized aggregate signals: how many users viewed, marked interested, self-reported submitting.
9.2 No usernames, bid amounts, proposal content, win claims, or PII exposed. Below a per-category threshold, aggregates are hidden entirely.
9.3 Self-reported submission is taken on trust. Patterns suggesting falsified self-reporting may result in loss of bid-intelligence access.
9.4 By using Notish you consent to inclusion in anonymized aggregates as a normal part of the service.
10. Intellectual property
10.1 Notish brand, UI, software, scraper code, trained models — all Studio Imagine's IP or its licensors'.
10.2 You receive a limited, non-exclusive, non-transferable, revocable licence during your account term.
10.3 Third-party content surfaced by Notish remains the property of its rightsholder.
11. Service availability
11.1 We aim for high availability but provide no specific uptime guarantee in v1. Service is "as-is" and "as-available".
11.2 We may modify, suspend, or discontinue any feature, source, or component, with reasonable notice for paying subscribers where material.
11.3 Sources may be removed if blocked, restructured, subject to legal demands, or cost-prohibitive.
12. Disclaimers and limitations of liability
12.1 All warranties disclaimed to the maximum extent permitted by law. Service is "as-is".
12.2 Not liable for business decisions in reliance on surfaced info, third-party source failures, inaccuracy from third parties, notification delays, or data loss from your or third-party action.
12.3 Cumulative liability capped at the greater of BDT 5,000 or the amount paid in the prior 12 months. For Basic users who've paid nothing, the cap is BDT 5,000.
12.4 Nothing limits liability that cannot lawfully be limited.
13. Termination, suspension, and anti-abuse
13.1 Close anytime via Settings → Privacy. Final after 14-day grace.
13.2 We may suspend/terminate for material breach, duplicate-account abuse, legal risk, falsified bid intelligence, or prolonged inactivity (18+ months no contact).
13.3 Anti-abuse measures. At signup we record IP, non-reversible browser fingerprint hash, user-agent, and form-fill timing. Used solely to flag suspected abuse; admin-reviewed before any action.
13.4 Termination doesn't relieve surviving obligations.
14. Indemnification
14.1 You agree to defend, indemnify, and hold harmless Studio Imagine against third-party claims arising from your use in violation, legal violations, infringement of third-party rights, your submitted content, or business decisions in reliance on the service.
15. Governing law and dispute resolution
15.1 Governed by laws of the People's Republic of Bangladesh. Mandatory consumer-protection provisions of users' home jurisdictions continue to apply where they cannot be excluded by contract.
15.2 Courts of Dhaka have exclusive jurisdiction, subject to applicable law allowing you to bring proceedings locally.
15.3 Pre-dispute: contact legal@notish.app; we'll respond within 15 business days and engage in good-faith resolution.
16. Changes to these Terms
16.1 "Last updated" reflects revisions.
16.2 Material changes: minimum 30 days' prior notice. Continued use after effective date = acceptance.
16.3 Non-material changes (typos): no prior notice required.
17. Miscellaneous
17.1 Entire agreement. These Terms + Privacy Policy + tier-specific terms = full agreement.
17.2 Severability. Unenforceable provisions modified to minimum extent or severed.
17.3 No waiver. Non-enforcement now is not waiver later.
17.4 Assignment. You may not assign without consent. We may assign to a successor on prior written notice.
17.5 Notices. To us: legal@notish.app. To you: account email.
17.6 Language. English controls in any translation conflict.
